Acceptance & binding agreement

These Terms form a binding contract between you and Soar. By creating an account, signing in, browsing, or using Soar in any way, you accept these Terms in full, including the disclaimers, limitations of liability, indemnity, arbitration, class-action waiver, and jury-trial waiver below. If you do not agree, you must not use Soar.

What Soar is — and is not

Soar is a technology platform that surfaces flight inventory and facilitates bookings between you and third-party airlines through third-party providers (including Duffel). Soar is not an airline, charter operator, travel agency of record, fiduciary, advisor, or guarantor. Each booking is a contract between you and the operating carrier; Soar acts solely as a limited-purpose technical agent and assumes no responsibility for the airline's performance.

Eligibility

You must be at least 18 years old, legally capable of forming a binding contract, and not barred from using Soar under any applicable law. You represent that all information you provide is accurate, current, and complete.

Your responsibility

You alone are responsible for: the accuracy of every detail you submit (names, dates, passport numbers, payment information); verifying that your travel documents, visas, vaccinations, and entry requirements are valid for every leg of your itinerary; confirming flight times, terminals, and connections directly with the carrier; arriving at the airport on time; complying with airline, airport, customs, and government rules; and the actions of anyone using your account. We do not warrant the accuracy of any pricing, schedule, route, visa hint, or other content shown in the app.

Pricing, charges & errors

Prices, fares, taxes, and fees are set by the airline and may change at any time before a booking is confirmed. We may correct obvious errors (typographical, pricing, inventory) and cancel any booking made in reliance on them, even after charge, with a refund of the amount paid as the sole and exclusive remedy. All charges are final once the airline issues a ticket; refunds are governed by the airline's fare rules.

Cancellations, changes & refunds

Refundability, change fees, schedule changes, downgrades, denied boarding, and involuntary rebooking are governed entirely by the operating airline and the fare class you select. Soar does not control and is not responsible for any of them. Where an airline issues a refund, we will pass it through, less any non-refundable fees, on the airline's timeline.

Disclaimer of warranties

Soar is provided "as is" and "as available," without warranty of any kind, express or implied, to the maximum extent permitted by law. We expressly disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, security, and uninterrupted or error-free operation. We make no warranty regarding any airline, third-party provider, or travel outcome.

Limitation of liability

To the maximum extent permitted by law, Soar, its affiliates, officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, opportunity, baggage, time, accommodation, alternate-transport costs, or other intangible losses, arising out of or in connection with your use of Soar — even if advised of the possibility of such damages and even if any remedy fails of its essential purpose. Our aggregate liability for all claims arising out of or relating to Soar shall not exceed the greater of (a) the booking fees actually paid by you to Soar (excluding amounts remitted to airlines or other third parties) in the three months preceding the event giving rise to the claim, or (b) US$100. Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the smallest amount permitted by law.

No liability for third parties

Soar is not responsible or liable for any act, omission, delay, cancellation, schedule change, equipment substitution, denied boarding, lost or damaged baggage, injury, illness, death, property damage, force-majeure event, strike, weather, government action, security incident, or any other conduct of any airline, airport, payment processor, identity-verification provider, government, or other third party. Airline operational liability is governed exclusively by the airline's contract of carriage and the Montreal or Warsaw Convention where applicable.

Force majeure

Soar is not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, pandemic, government action, labour dispute, infrastructure or network failure, cyber-attack, or third-party outage.

Indemnity

You agree to defend, indemnify, and hold harmless Soar and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to your use of Soar, your bookings, your content, your breach of these Terms, your violation of any law, or your infringement of any third-party right.

Acceptable use

You may not use Soar to commit fraud, launder money, evade sanctions, scrape data, reverse engineer the service, circumvent security, abuse other users, infringe intellectual property, or violate any law. We may suspend, restrict, or terminate your account at any time, with or without notice, for any reason or no reason, and we have no liability for doing so.

Intellectual property

Soar and all related software, content, trademarks, and design are owned by Soar or its licensors. You receive a limited, revocable, non-exclusive, non-transferable licence to use the service for personal, non-commercial booking purposes only. All other rights are reserved.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules and without application of the United Nations Convention on Contracts for the International Sale of Goods.

Arbitration & class-action waiver

Any dispute arising out of or relating to Soar or these Terms shall be resolved exclusively by final and binding individual arbitration administered by JAMS under its applicable rules, seated in Wilmington, Delaware, USA, in English. You and Soar each waive the right to a jury trial and the right to participate in any class, collective, or representative action. The arbitrator — not any court — shall decide all issues of arbitrability. Either party may seek injunctive relief in court for intellectual-property or confidentiality matters. If the class-action waiver is held unenforceable as to any particular claim, that claim shall proceed in court and all other claims shall remain in arbitration.

Time limit on claims

Any claim arising out of or relating to Soar must be filed within one (1) year after the cause of action arises, or it is permanently barred, to the maximum extent permitted by law.

Changes

We may modify these Terms at any time. Material changes take effect upon posting. Your continued use of Soar after a change constitutes acceptance. If you do not accept a change, you must stop using Soar.

Severability & entire agreement

If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision shall be reformed only to the extent necessary to make it enforceable. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Soar regarding the service and supersede all prior agreements. No waiver of any term shall be deemed a further or continuing waiver. You may not assign these Terms; we may assign them freely.

Account termination

We may suspend or terminate any account at our sole discretion, with or without cause, with or without notice, and without liability. You may close your account at any time from Settings. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnity, arbitration, and governing law) shall survive.
